1. Acceptance of Terms

These Terms of Service (the “Terms”) are a legally binding agreement between you and EC Property Build and Management LLC, doing business as “EC Property Managers” (“EC Property Managers,” “we,” “us,” or “our”), governing your access to and use of ec-management.comand any related pages, features, or content (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Scope — Website Only

These Terms apply only to your use of the Site. They do notgovern the property management services we provide to clients, which are governed by a separate written Master Services Agreement (“MSA”) or other executed contract. Nothing on the Site creates a client relationship or a contract for services until both parties sign a written agreement.

3. No Real Estate Brokerage

EC Property Managers is a property management company. We are not a licensed real estate broker and do not provide leasing, brokerage, or real estate sales services. Any leasing discussion on the Site refers to property management support, not broker representation.

4. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site. By using the Site you represent and warrant that you meet these requirements.

5. Site Content

Content on the Site — including text, images, logos, graphics, blog posts, and design — is the property of EC Property Managers or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and download content for personal, non-commercial reference only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content without our prior written permission.

“EC Property Managers,” our logos, and related marks are trademarks of EC Property Build and Management LLC.

6. User Submissions

When you submit information through the Site (contact forms, newsletter signup, inquiries), you represent that the information is accurate and that you have the right to provide it. You grant us a non-exclusive, royalty-free license to use that information to respond to you, operate our business, and improve our services, consistent with our Privacy Policy.

Do not submit content that is unlawful, defamatory, obscene, harassing, or that infringes the rights of others.

7. Prohibited Uses

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to the Site, related systems, or other users' information
Introduce viruses, malware, or other harmful code to the Site
Scrape, crawl, or use automated tools to collect data from the Site except as permitted by our robots.txt file
Interfere with the proper functioning, security, or performance of the Site
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the Site to send unsolicited marketing, spam, or phishing content

8. Third-Party Links and Services

The Site may link to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of third-party sites, and linking does not imply endorsement.

9. Disclaimers

The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EC Property Managers disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

Information on the Site is provided for general informational purposes only and is not legal, financial, tax, or real-estate advice. You should consult a qualified professional before making decisions based on Site content.

10. Limitation of Liability

To the fullest extent permitted by law, EC Property Managers, its members, managers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or related to the Site shall not exceed one hundred U.S. dollars (US$100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless EC Property Managers and its members, managers, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party.

12. Modification of Site and Terms

We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We may also update these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or engaged in conduct harmful to EC Property Managers or other users. Sections that by their nature should survive termination (including Sections 5, 9–11, and 14–16) shall survive.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The federal and state courts located in Montgomery County, Texas, shall have exclusive jurisdiction over any matter not subject to arbitration under Section 15.

15. Binding Arbitration and Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a “Dispute”) shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration shall take place in Montgomery County, Texas, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver.You and EC Property Managers agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or Site-security interests.

16. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign them without restriction.
Headings. Section headings are for convenience only and have no legal effect.
